General Terms and Conditions.


These general terms and conditions apply to all deliveries from Circle Supply ApS, Østre Fælledvej 10, 9400 Nørresundby, Denmark, unless otherwise agreed in writing.


1. Delivery and ShippingWebshop (Standard Products)

All prices are stated excluding VAT and shipping unless otherwise specified.

  • Orders up to DKK 4,999 (excl. VAT):

    • Pickup: free of charge

    • Curbside delivery: DKK 1,000 (excl. VAT)

  • Orders from DKK 5,000 (excl. VAT) and above:

    • Free curbside delivery

Delivery is made within Denmark (bridge-connected areas) via freight carrier or Circle Supply ApS’ own vehicles.

Project Customers (B2B / Custom Projects)

For project deliveries, large orders, or custom solutions, delivery terms (including carrying-in and installation) are agreed individually.

Circle Supply ApS may offer:

  • Delivery including carrying-in

  • Assembly and installation

  • Coordinated delivery according to project plans

These services are invoiced separately.

Delivery Time

  • Standard products (webshop):Typically 2–4 working days (indicative)

  • Project deliveries:Agreed individually

  • Custom/upcycled furniture:
    Approx. 4 weeks delivery time
    Calculated from the point when all required materials (textiles, components, etc.) have been received by Circle Supply ApS

All delivery times are indicative and may be affected by suppliers, production, and logistics.

Completion of Delivery

Delivery is considered completed when the goods have been handed over to the customer.


2. Warranty and Claims

  • New products: Manufacturer’s warranty (minimum 2 years)

  • Used/demo/upcycled products: 2-year right of complaint

Any defects must be reported in writing within 8 days of receipt.

In case of a valid claim, the product will be:

  • repaired, or

  • replaced (at Circle Supply ApS’ discretion)

Normal wear and tear is not considered a defect.


3. Right of Withdrawal (Webshop Standard Products Only)

A 14-day right of withdrawalapplies from the date of receipt.

Withdrawal must be notified in writing within this period.

The product must be returned:

  • in the same condition and packaging

  • at the customer’s expense

Additional services (e.g. assembly) are non-refundable.


4. No Right of Return for Custom Products (Webshop & Projects)

There is no right of withdrawal or returnfor products that are:

  • custom-made

  • individually tailored

  • produced or modified according to customer specifications

This includes, but is not limited to:

  • textile selection

  • color selection

  • painting/lacquering

  • upcycling and reupholstery

  • custom configurations

This also applies when selections are made by Circle Supply ApS on behalf of the customer.

Such orders are binding and cannot be cancelled or returned.


5. Returns (Where Applicable)

Returns must be made within 14 daysafter notification of withdrawal.

The customer:

  • covers all return shipping costs

  • bears the risk during transport

Products must be securely packaged and include a copy of the order confirmation.

Cash on delivery shipments are not accepted.


6. Payment, Default and Retention of Title

Circle Supply ApS accepts:

  • VISA / Mastercard

  • MobilePay

  • Bank transfer

  • Invoice / EAN (B2B)

All prices are stated in DKK excluding VAT.

Webshop

Payment is made at checkout or upon shipment.

Project Customers / Custom Work

  • 50% prepaymentis invoiced upon order confirmation

  • Production starts only after payment has been received

  • The remaining balance is invoiced upon delivery unless otherwise agreed

For larger projects, payments may be split into multiple installments.

Late Payment

In case of late payment:

  • Interest will be charged in accordance with applicable law

  • Reminder fees may be applied

  • Circle Supply ApS reserves the right to:

    • withhold deliveries

    • suspend ongoing work

    • cancel agreements

Breach of Contract

In case of material breach, including non-payment, Circle Supply ApS reserves the right to:

  • suspend projects without notice

  • cancel orders fully or partially

  • invoice completed work and purchased materials

  • claim compensation for documented losses, including loss of profit

For custom projects, the customer is obligated to pay for:

  • materials purchased

  • work already performed

regardless of project completion.

Retention of Title

Ownership of goods remains with Circle Supply ApS until full payment has been received.

8. Environmental Fee and Disposal

Circle Supply ApS reserves the right to charge an environmental and disposal feerelated to:

  • removal and handling of existing materials

  • waste sorting and disposal

  • upcycling and refurbishment processes

Any such fee will be stated in quotations, order confirmations, or invoices.
